Welcome to electriccitylogistics.com. This website is owned and operated by Electric City Logistics, LLC, a Montana limited liability company. By accessing or using our website, or by engaging our e-commerce fulfillment, inspection, prep, and shipping services (collectively, the "Services"), you approve that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms").
If you do not agree to all of these Terms, you are expressly prohibited from using this website and our Services, and you must discontinue use immediately.
1. Eligibility & Website Use
While individuals under the age of 18 are permitted to view and browse this website, they are strictly prohibited from purchasing services, creating accounts, or otherwise interacting with the site's commercial features. To engage our Services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority to enter into these Terms as a binding agreement.
2. Commercial Terms, Fees, & Payments
By engaging Electric City Logistics, LLC for fulfillment and prep services, you agree to our commercial pricing structures, which include but are not limited to:

Registration Fee: A non-refundable registration fee of $75 is due upon the execution of a service contract. If a client pauses or stops services for a period of three (3) months or longer, this $75 registration fee will be reapplied upon return.

Service Rates: Service fees and processing rates are determined on an individual client basis according to specific fulfillment needs and are formalized in your specific Fulfillment Services Agreement. All prices and standard rates are subject to change, and Electric City Logistics, LLC will provide clients with a two (2) week prior notice before any price adjustments take effect.

Additional Packaging Materials: Standard bubble wrap or brown paper is included. Clients bear the direct cost of any specialized packaging required, including but not limited to poly bag packing or excess/oversized packing materials.

Shipping Costs: The client is solely responsible for all shipping, freight, and carrier costs associated with the transport of their inventory to and from our facility.
3. Invoicing, Late Fees, and Service Termination

Billing Cycle: Invoices are issued monthly via email (or mail, depending on pre-arranged preferences). All invoices are due upon receipt.

Late Payment Penalties: A late payment fee of $30.00 will be applied to any unpaid invoice after a one-week (7-day) grace period. An additional $30.00 late fee will continue to accumulate weekly for up to one month.

Suspension & Termination: If an invoice remains unpaid after one month (30 days), Electric City Logistics, LLC reserves the right to immediately suspend processing, withhold inventory, and/or terminate services entirely.
4. Abandonment, Contract Violation, and Forfeiture of Inventory

Forfeiture Policy: Any physical product, inventory, or cargo left at the Electric City Logistics facility due to non-payment, client abandonment, or material contract violation will be permanently forfeited to Electric City Logistics, LLC.

Electric City Logistics, LLC reserves the right to liquidate, dispose of, sell, or retain forfeited inventory to recoup unpaid balances, storage fees, or administrative costs without further liability or legal obligation to the client.
5. Client Inventory Responsibilities
Clients utilizing our e-commerce fulfillment services must:

Provide a highly detailed, accurate inventory list of all products sent to our facility, including explicit packaging, bundling, or labeling instructions via our designated Google Sheets portal.

Ensure all products sent to us comply with standard legal regulations and the specific requirements of their designated sales platforms (e.g., Amazon FBA, FBM, Shopify). Electric City Logistics, LLC is not liable for inventory rejected by third-party marketplace platforms due to client instruction errors.
6. Right to Change or Modify Offerings
We may, without prior notice, change the Services; stop providing the Services or any features of the Services we offer; or create limits for the Services. We may permanently or temporarily terminate or suspend access to the Services without notice and liability for any reason, or for no reason.
7. Intellectual Property
The website and its original content, features, functionality, logos, and marketing slogans (including "We handle those mountains of boxes for you!") are and will remain the exclusive property of Electric City Logistics, LLC and are protected by copyright, trademark, and other intellectual property laws.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Electric City Logistics, LLC, nor its owner, operators, or employees, be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, this website or our fulfillment services.
Electric City Logistics, LLC assumes no liability or responsibility for:

Any damage to inventory that occurs during transit via third-party shipping carriers.

Inbound inventory that arrives at our facility pre-damaged (though we will inspect and notify the client of such damage upon receipt).

Commercial losses resulting from platform-level restrictions (e.g., Amazon account suspensions).
9. Indemnification
You agree to indemnify, defend, and hold harmless Electric City Logistics, LLC and its components from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the website and our fulfillment services.

Any physical products or inventory you supply, including product liability or safety claims.

Your violation of any term of these Terms or any third-party marketplace platform policies.
10. Cancellation & Termination of Accounts
We may permanently or temporarily terminate or suspend your access to the website or our service pipeline without notice and liability for any reason, including if in our sole determination you breach any provision of these Terms or any applicable law.
Grounds for immediate termination of business relationships include, but are not limited to:

Failure to pay for services rendered after one month's time.

Intentional misrepresentation of inventory details.

Harassment, verbal abuse, or physical threats directed toward Electric City Logistics ownership, staff, or contractors.
11. Governing Law & Dispute Resolution
These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the services, shall be governed by, construed under, and enforced in all respects solely and exclusively in accordance with the internal substantive laws of the State of Montana, without respect to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or our Services shall be settled via binding arbitration or mediation in Great Falls, Montana.
